Thomson Snell & Passmore LLP recently acted for the shareholders of Henley Bridge Ingredients Limited (HBI) in relation to the sale of its entire issued share capital to HMS.

Founded in 1998 by Tony Mycock, HBI is a distributer of high-end ingredients to chocolatiers, ice cream manufacturers, bakers and the food service industry. It has become the largest independent chocolate couverture distributor in Europe.

HMS was founded in 1992 and is the independently owned parent company of ingredient distributors Kent Foods, BFP and Garrett Ingredients. It is one of Europe’s largest food ingredient distributors.

HBI will continue to operate as a stand-alone business and the existing management team will remain in charge.

Nick Gabay, a Partner in the Corporate department, led the project team at Thomson Snell & Passmore and was assisted by Joseph Hartland (Solicitor in Corporate & Commercial), Harriet Nichols (Associate in Commercial Property) and Ben Stepney (Senior Associate in Employment).
